Disclaimer of Liability for Al Tools & Resources

 This Addendum to Membership Terms and Policies (the “Addendum”) modifies and amends the Membership Terms and Policies (revised February 20, 2024) of Signature Travel Network Cooperative Inc. (“STN”) by adding terms related to the Artificial Intelligence tools and resources (the “AI Tools and Resources”) STN offers to its members.  This Addendum establishes, sets forth, and clarifies the terms and conditions, including disclaimers of liability, of use by each STN member (each, a “User”) of the AI Tools and Resources, including their usage within SigNet and other STN programs and platforms. By accessing or utilizing STN provided Al Tools and Resources, the User acknowledges and agrees to the terms of this Addendum, which are designed to protect STN, its officers, directors, employees, agents, and representatives (collectively, “Signature”) from any responsibility or liability associated with their use by User.
 

1.              No Endorsement or Responsibility: The AI Tools and Resources made available by Signature to its members are provided solely for informational purposes. Signature does not endorse or guaranty the AI Tools and Resources or their effectiveness.  Furthermore, Signature makes no representations or warranties regarding the suitability or performance of these Al Tools and Resources for User's specific needs or circumstances. Signature does not endorse or assume any responsibility for the viability, performance, or impact of the AI Tools and Resources on User's business. User acknowledges and agrees that in using the AI Tools and Resources for Users’ purposes, Signature shall not be held responsible or liable for any issues, damages, losses, or negative consequences arising from the use or implementation of the AI Tools and Resources.

2.              Performance and Impact: The performance, functionality, accuracy, or impact of these Tools and Resources on User's business or operations are the sole responsibility of the User.

3.              Third Party Products:  User acknowledges and understands that the AI Tools and Resources may be subject to and governed by the applicable end-user license, end-user subscription agreement, or other applicable agreement for such tools and resources (each, a “Third-Party Agreement”).  User acknowledges and agrees that its use or integration of a Third-Party product may involve the processing, input, disclosure, movement, transfer, and storage of User’s materials within the Third-Party product’s infrastructure, and that the Third-Party Agreements will govern all obligations of a Third-Party service provider relating to data privacy, storage, recovery, security, and processing with such Third-Party’s infrastructure as well as the service levels associated with such Third-Party Product.

4.              User's Own Risk and Discretion: User acknowledges and agrees to use the AI Tools and Resources at their own risk and discretion. The decision to implement or rely on the AI Tools and Resources rests solely with the User. User accepts full responsibility for any consequences, damages, or losses that may arise from their use. It is User's responsibility to assess and evaluate the suitability, compatibility, and potential risks associated with the use of the AI Tools and Resources for their specific business needs. User should exercise caution and undertake proper due diligence before implementing any of the AI Tools and Resources.

5.              No Warranty:  The AI Tools and Resources are provided “as is”.  Signature disclaims all warranties, whether express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, or non-infringement. Signature does not warrant the accuracy, reliability, or functionality of the AI Tools and Resources and does not warrant that the AI Tools and Resources will meet User's requirements, be error-free, or operate without interruption.

6.              Limitation of Liability: In no event shall Signature be liable to User or any third-party for any direct, indirect, incidental, consequential, special, or exemplary damages, including but not limited to damages for loss of profits, data, or business interruption, arising out of, or in connection with, the use or performance of the AI Tools and Resources.  In addition, User agrees that the Signature shall not be held responsible or liable for any other issues, consequences, damages, or losses resulting from the use of the AI Tools and Resources.

7.              Indemnification: User agrees to indemnify, defend, and hold Signature harmless from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in connection with User's use of the AI Tools and Resources.

8.              Severability: If any provision of this Statement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

By accessing or utilizing the AI Tools and Resources, User acknowledges and accepts the terms and conditions in this Addendum. User is advised to exercise caution, conduct further research, and make informed decisions regarding their implementation.
